"Planfix AI" refers to any tools, features, or capabilities available through additional functionality on the Planfix platform. These features utilize data models developed with machine learning and artificial intelligence technologies. They include, but are not limited to, generating concise or detailed content upon request, editing or extracting data from existing content, translating newly created or existing content, and modifying system settings.

By using Planfix AI, the Customer acknowledges and accepts all risks associated with artificial intelligence technologies, including potential inaccuracies and unpredictable AI outcomes.

 

1. GENERAL TERMS

1.1. These Terms govern the use of the "Planfix AI" functionality (hereinafter referred to as "Planfix AI") provided by Planfix Inc. (hereinafter referred to as the "Provider").

1.2. Planfix AI functionality is available to Planfix platform users, including legal entities and sole proprietors, on all paid subscription plans and constitutes an integral part of the Planfix Terms of Service .

1.3. By using Planfix AI, the Customer confirms that they have reviewed and fully agree to these Terms. If the Customer disagrees, they must refrain from using Planfix AI.

1.4. These Terms supplement the main Planfix Terms of Service and prevail in matters directly related to the use of Planfix AI functionality. In other cases, the general Planfix Terms of Service apply.

 

2. PLANFIX AI FUNCTIONALITY

2.1. Planfix AI comprises a set of artificial intelligence (AI)-based tools enabling the automatic generation of textual and other content upon the Customer's request, data extraction or editing, translation, summarization of materials, and similar platform-supported functions. These functions may evolve without prior notice.

2.2. To operate Planfix AI, the Provider utilizes AI technologies provided by third-party organizations ("Technology Providers"). Customer requests and generated content are transmitted to Technology Providers to fulfill the Customer's requests.

2.3. The Customer is informed that the Provider uses third-party AI technologies (Section 10), which may process Customer requests and data. The Provider commits to ensuring these technologies comply with Technology Providers' terms and applicable laws.

2.4. Planfix AI may activate automatically within specific platform features. By using such features, the Customer agrees to Planfix AI usage unless explicitly disabled beforehand.

2.5. The Customer may independently control Planfix AI's activation via the platform interface. The Customer's account administrator bears responsibility for managing this functionality.

 

3. GENERATED CONTENT

3.1. Content generated via Planfix AI is provided to the Customer without any guarantees regarding uniqueness, accuracy, completeness, or freedom from third-party claims.

3.2. The Provider does not claim copyrights on content created using Planfix AI. Customers may use the generated content at their discretion but must ensure its legality and legitimacy independently. Customers must confirm that using the content does not violate any laws or third-party rights.

3.3. The Provider is not liable for any errors, inaccuracies, or potential infringement of third-party rights in content generated by Planfix AI. Customers acknowledge that any resemblance to existing content is coincidental and does not constitute grounds for claims against the Provider. The Provider is not obliged to monitor or moderate generated content and bears no responsibility for it.

3.4. Generated content is informational only and does not reflect the Provider's positions, opinions, or recommendations. Customers use such content solely at their own risk.

 

4. USAGE RESTRICTIONS

4.1. The Customer agrees not to use Planfix AI for creating or distributing content violating applicable laws, third-party rights, or moral and ethical standards, including but not limited to extremist, violent, discriminatory materials, misinformation, malicious software, spam, sensitive personal data, or unauthorized classified information.

4.2. Direct Competitors of the Provider are not permitted to use Planfix AI for the purpose of competitive analysis, reverse engineering, or feature replication. For purposes of this clause, "Direct Competitor" means an entity that is primarily engaged in the development, marketing, or sale of an AI-augmented project management, collaboration, or customer relationship management software product that materially competes with the Platform. For clarity, this restriction does not apply to (a) general-purpose AI tooling providers, model developers, embedding providers, or infrastructure vendors; (b) consulting firms, system integrators, or implementation partners; or (c) entities whose use of similar products is incidental to a primary business that is not Direct Competition with the Platform.

4.2.1. Where the Provider has a reasonable basis to believe that a Customer is a Direct Competitor using Planfix AI in violation of Clause 4.2, the Provider reserves the right, in its sole discretion, to limit access to Planfix AI. Before suspending or terminating access, the Provider shall provide the Customer with written notice describing the basis for the Provider's belief and afford the Customer a reasonable opportunity (not less than seven (7) calendar days) to respond. After considering the Customer's response in good faith, the Provider may, in its reasonable discretion, suspend or terminate access to Planfix AI.

4.3. Any attempts to bypass the Provider's technical restrictions or security measures are strictly prohibited and may result in immediate suspension of access.

4.4. For severe or repeated violations, the Provider may terminate access to Planfix AI and services entirely, including terminating the primary Planfix agreement.

4.5. Customers must immediately notify the Provider of unauthorized attempts by third parties to bypass restrictions or misuse Planfix AI.

 

5. PERSONAL DATA AND CONFIDENTIALITY

5.1. Don't use Planfix AI to send or process sensitive personal information — for example, medical records, financial details, biometric data, race or ethnicity, political opinions, or religious beliefs. We don't want this kind of data in Planfix AI, and you're responsible for keeping it out.

5.2. When you send personal data through Planfix AI, you confirm you have the legal right to do so under the privacy laws that apply to you — for example, CCPA in California or GDPR in the EU. You're responsible for getting any consents the law requires from the people whose data you're sending.

5.3. By using Planfix AI, you authorize Planfix to send your data to our Technology Providers (Section 10) when needed to deliver the requested feature. This may involve sending data across borders — for example, from the EU to the US. For data about people in the EU, UK, or Switzerland, we and our Technology Providers rely on Standard Contractual Clauses or other lawful transfer mechanisms, as described in our Privacy Policy .

5.4. We process personal data sent through Planfix AI only to provide the Planfix AI features, in line with our Privacy Policy and the privacy laws that apply (such as CCPA and GDPR). Our contracts with Technology Providers require them to follow substantially the same privacy rules with respect to data we send them through Planfix AI.

5.5. The Provider has activated all available training and model-improvement opt-out controls with its Technology Providers. To the Provider's knowledge based on the current terms and configurations of its Technology Providers, Customer data and Customer requests transmitted to Technology Providers through Planfix AI are not used by those Technology Providers to train, improve, or develop AI models. The Provider periodically reviews Technology Provider terms and configurations to maintain this posture. Should a Technology Provider's terms change, the Provider will update these AI Terms and notify Customers in accordance with Section 7.

 

6. DISCLAIMER OF WARRANTIES AND LIABILITY LIMITATION

6.1. Planfix AI functionality is provided "as is" and "as available," without any express or implied warranties, including fitness for specific purposes, error-free operation, or meeting Customer expectations.

6.2. The Provider does not guarantee accuracy, completeness, timeliness, or legality of any content created by Planfix AI. Customers must independently verify all information and content.

6.3. Generated content is informational and does not represent the Provider's official stance or recommendations. Use is solely at the Customer's risk.

6.4. The Provider is not liable for direct or indirect losses, including lost profits, business interruption, or data loss resulting from using Planfix AI.

6.5. The Customer agrees to indemnify the Provider for any losses, expenses, and costs (including legal fees) incurred due to third-party claims, regulatory actions, or other authorities arising from the Customer's breach of these Terms or misuse of the Planfix AI functionality, including violations of law or third-party rights.

6.6. In any case, the Provider's maximum aggregate liability for any claims related to the use of Planfix AI functionality shall not exceed the amount equivalent to the monthly subscription fee paid by the Customer, applicable at the time the claim arose.

 

7. AMENDMENTS TO TERMS

7.1. The Provider may amend these Terms from time to time by publishing the updated version at https://planfix.com/doc/ai-terms-of-use/ and notifying the Customer by email at the address designated for the Account. The updated Terms are effective immediately upon publication.

7.2. The Customer's continued use of Planfix AI after publication of the updated Terms constitutes the Customer's acceptance of the updated Terms. If the Customer does not agree to the updated Terms, the Customer's sole remedy is to discontinue use of Planfix AI under Clause 7.3. Discontinuation of Planfix AI does not affect the Customer's continued use of the Platform or the primary Terms of Service .

7.3. Customers may discontinue the use of Planfix AI anytime by disabling the functionality within platform settings or informing the Provider through customer support. Discontinuation does not affect the primary Planfix service agreement and does not incur penalties.

7.4. The Provider may discontinue or materially modify Planfix AI functionality, in whole or in part, at any time. The Provider will notify the Customer by email at the address designated for the Account of any such discontinuance or material modification. The discontinuance or modification is effective immediately upon notification, except where the Provider specifies a later effective date in the notification.

 

8. THIRD-PARTY POLICIES

8.1. To provide the Planfix AI functionality, the Provider uses technologies supplied by Technology Providers. The Customer acknowledges and agrees that the use of these technologies is governed by the terms of the respective Technology Providers, which the Provider commits to comply with in the course of providing its services.

8.2. The Provider guarantees that the use of Planfix AI complies with the terms established by the Technology Providers and accepts responsibility for monitoring and adhering to these terms within its relationships with such providers.

8.3. The Customer agrees that the Provider has the right to temporarily or permanently suspend access to Planfix AI functionality if necessary to comply with the requirements or terms of the Technology Providers, without additional notification to the Customer or compensation.

 

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict-of-laws rules, consistent with the Terms of Service §14.10. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

9.2. Any dispute, controversy, or claim arising out of or relating to these Terms, the Planfix AI functionality, or any data processed through Planfix AI shall be resolved in accordance with the dispute resolution provisions of the Terms of Service §§14.1–14.12, including the mandatory binding arbitration provisions thereof, which are hereby incorporated by reference. The Customer's opt-out rights under Terms of Service §14.7 apply equally to disputes under these Terms.

9.3. Without limiting Clause 9.2, the Parties shall first attempt to resolve any dispute through informal negotiation in accordance with Terms of Service §§14.1–14.3. If the Parties do not reach resolution within the period specified in Terms of Service §14.2, the dispute shall proceed to arbitration or court (as applicable) in accordance with Terms of Service §§14.4–14.12.

 

10. TECHNOLOGY PROVIDERS

10.1. The Provider uses AI technologies provided by third-party Technology Providers to deliver Planfix AI functionality.

10.2. Customers acknowledge and agree that their requests and data transmitted via Planfix AI may be processed by these Technology Providers. The Provider ensures these technologies comply with applicable laws and the Technology Providers' terms.

10.3. The Provider may alter the list of Technology Providers at its discretion without additional notice to Customers.
